Associate General Counsel/SCM

GENERAL SUMMARY

As a valued member of the AM General Legal team, the Associate General Counsel position will serve as legal counsel for the Company while assisting the Executive Vice President and General Counsel in protecting the company’s interests in a variety of areas. The counsel position will proactively advise and provide legal services to company management and business partners in all the wide-ranging areas where business legal issues arise including government contracts, security, international and commercial contract issues, employment, real estate, licensing, intellectual property, supply chain agreements and non-disclosure agreements. The Counsel position will work with internal business partners to strategize on ways to develop and enhance relationships as well as develop creative and innovative solutions to solve complex issues.

PRINCIPAL DUTIES AND RESPONSIBILITIES

Guides the successful resolution of legal problems, examines various documents and data and provides counsel to all levels of management, including senior management, on best courses of action.

Negotiates and prepares a variety of contractual documents including, but not limited to, licenses, contracts, non-disclosure agreements and teaming agreements for commercial and government transactions.

Review, and assist Supply Chain in the negotiation of supplier contracts and supplier development agreements to support U.S. Government and International business.

Participates in reviewing, interpreting and drafting various company policies and procedures.

Analyzes, prepares, and reviews various matters including contractual documents to ensure the Company’s interests are protected.

May assist with analysis and advice regarding litigation and pre-litigation matters.

Interprets and analyzes various governmental regulations and policies.

Assist and guide the FSO with any security matters and audits that may arise.

Collaborate with internal business partners during the review of projects including commercial agreements, IT agreements and other company agreements.

Standardize documents, processes and procedures, while ensuring compliance with current laws, client requirements, and industry best practices.

Research legal and business issues and provide timely responses to questions from internal business clients regarding processes, form agreements and policies.

Provide effective advice and support on related legal issues as needed.

Perform other tasks as may be assigned.

EDUCATION & SKILLS

J.D. from an ABA-accredited law school.

Licensed and in good standing as an active member of the bar in one of the 50 states (Indiana or Michigan bar preferred).

Experience working in the defense industry preferred.

Ideal candidate will have a minimum of three (3) years of legal experience focused on several of the following areas manufacturing, security, government contracts, supply chain contracting, including purchase orders, general terms and conditions, supply agreements, etc., either in private practice or in-house capacity (or a combination thereof).

Be a U.S. Person (as defined in 22 C.F.R § 120.15; 15 C.F.R. § 772.1) or legally authorized to work in the United States and eligible for appropriate licensing.

Strong organizational skills, a high level of initiative, mature interpersonal skills, an ability to communicate effectively with internal and external clients, and an ability to thrive in a dynamic and demanding environment.

Experience or familiarity with the Federal Acquisition Regulation (FAR) and Department of Defense FAR Supplement (DFARS) or similar acquisition regulations is desirable.

Must have strong familiarity with Microsoft Office tools and Office 365.

This position will be located in the AM General Corporate Office in South Bend, Indiana or Auburn Hills, Michigan.

PHYSICAL EFFORTS

Sight: must be able to regularly read computer screen, reports, and various documents with detail and clarity so as to accomplish work tasks in a safe and efficient manner. This includes regular use of adequate close vision, distance vision, color vision, peripheral vision, and ability to adjust focus.

Hearing: must be able to regularly hear well enough to communicate.

Hand-Eye Coordination: must be able to regularly coordinate one’s eyes with one’s fingers, wrists, or arms to move, carry, or manipulate objects or to perform other job-related tasks.

Manual Dexterity: must be able to regularly make quick, accurate, skillful, and coordinated movement with hands and arms to grasp, place, move, or use objects such as phone, computer, and other office equipment, tools, or controls.

Agility: must be able to regularly bend, stretch, twist, or reach out with the body, arms, or legs to perform job tasks. This includes the ability to move throughout all areas of the facility, Company’s property surrounding facility, or additional work areas.

Climbing / Kneeling: must be able to occasionally climb, kneel, bend over, stoop, kneel, crouch, or crawl, with balance.

Lifting: must be able to occasionally lift up to 25 pounds with or without assistance.

Physical Strength: must be able to occasionally lift, push, pull, or carry objects using hands, arms, back, abdominal muscles, shoulders, legs, or a combination of these muscle groups.

Stamina: must be able to occasionally exert oneself physically over long periods of time. This may include performing repetitive or strenuous tasks as well as standing and sitting for long periods.

WORKING CONDITIONS

This job operates in a professional office environment. This role routine uses standard office equipment such as computers, phones, photocopiers, filing cabinets and copy, fax and scanning machines. Employee must be able to perform job functions with appropriate intermittent relief where applicable under these conditions.
